Sales tax and due diligence in an M&A

Los Angeles-based health & wellness company, must stay compliant with sales tax obligations nationwide
Ideal Living faced several challenges in managing its B2B sales operations, especially when it came to keeping up with their sales tax compliance in their multiple entities. Ideal Living was using a local sales tax business to manage their sales tax obligations, but it was becoming too much for them as they grew in sales across the country. Lina Pinskaya, Controller at Ideal Living, knew they needed to file individual returns for each entity instead of the consolidated returns their current provider was filing and decided it was time to find a new compliance provider with more experience with complex businesses. Pinskaya reached out to a provider she had worked with previously at a different business, TaxConnex.
“I reached out to TaxConnex because I had worked with them before,” Pinskaya explained. “Our business was growing more complex as it related to sales and use tax and I knew TaxConnex would be able to handle our multiple entities.”
Responsive, timely, engaging
Maintaining compliance for a business with sales tax obligations across the country can be difficult enough, but when you add multiple products and multiple entities, the complexity grows considerably. As with many things in sales tax, rules for managing multiple entities can vary by state and taxing jurisdiction. Each entity is often required to register on their own, and returns can be consolidated, but that is not always the case. Many times, each entity must act as its own business, which can triple and quadruple the number of returns being filed a month. This is the issue Ideal Living was facing when they reached out to TaxConnex. They needed to understand their sales tax obligation in relation to each of their entities and ensure they were all registered and complying appropriately.
TaxConnex was able to evaluate Ideal Living’s current situation and suggest a new way forward to help monitor their taxability, growing nexus footprint, reduce notices and ensure compliance across all of their entities.
“TaxConnex has helped us register in multiple states and takes care of all our filings in a timely manner,” exclaimed Pinskaya. “The service we receive from TaxConnex is responsive, timely and engaging.
By UPSOURCING their sales tax compliance to TaxConnex, Ideal Living was able to create a simple process to ensure their compliance is maintained. Each month, they log in to TaxConnex’s client portal, Client Connexion, upload their sales tax data, have it reviewed by their practitioner, receive a request for funds, and then they can rest easily knowing TaxConnex will handle the rest. Client Connexion allows users to receive reminders of their upcoming monthly filings, upload their data, receive confirmation of filings, review notices and access past filings and reports.
“I like that the platform provides visibility to all the filings,” explained Pinskaya.
Having visibility of all your monthly filings and reports is important to keep proper records and in the event of an audit, merger, or acquisition, you have a single location to access your files.
Ideal Living may have started working with TaxConnex because of the need to create a process around their complex filings, but they remain with TaxConnex because of the engaging service from the people working on their account and for being valuable and trustworthy for other compliance needs.
